Contract for the Provision of Services
General Terms and Conditions – Cooperation PartnersVisa Support & Business Solutions GmbH
1. Legal Independence of the Contracting Parties
Visa Support & Business Solutions GmbH and the respective cooperation partner are two fully independent legal entities. There are no corporate relationships or mutual liability arrangements between Visa Support GmbH and the cooperation partner. Visa Support GmbH acts in relation to the client exclusively as an intermediary and not as the provider of the specialised services offered by the cooperation partner.
2. Brokerage Mandate – Personal Attendance and Digital Processing
The brokerage agreement between the client and Visa Support GmbH is concluded upon the client's personal attendance at the offices of Visa Support GmbH. The brokerage process is managed personally by the management of Visa Support GmbH. The transmission of data and documents to the cooperation partner that are required for the provision of the specialised service is carried out exclusively by digital means.
3. Separate Contractual Relationships
The brokerage gives rise to two legally strictly delineated contractual relationships:
•A brokerage agreement between the client and Visa Support GmbH concerning the initiation and digital transmission of the order.
•A separate service agreement or works contract for the direct performance of the specialised service, which is concluded directly and exclusively between the client and the cooperation partner as the sole contracting party.
4. Limitation of Liability
As the specialised service is rendered by a separate legal entity, any liability of Visa Support GmbH for breaches of obligation, delays or deficiencies arising within the sphere of responsibility of the cooperation partner is excluded. The liability of Visa Support GmbH is limited to the proper digital transmission of the brokerage mandate.
5. Commission and Payment
Visa Support GmbH receives a commission from the cooperation partner in consideration of its brokerage activities. Payment for the specialised service is made in the name and for the account of the cooperation partner, unless a separate collection arrangement has been agreed in an individual case.
6. Data Protection
The client consents to their personal data and documents being transmitted in digital form to the legally independent cooperation partner for the purpose of fulfilling the contract. All data processing is carried out in accordance with the provisions of the EU General Data Protection Regulation (GDPR) and the applicable data protection legislation of the Federal Republic of Germany. Further details are set out in the separate Data Protection Regulations of Visa Support GmbH.
